1. Service Agreement

By engaging EXSTA CONSULT LIMITED for business strategy, operational consulting, digital transformation, or advisory services, you agree to be bound by these terms and conditions. Specific project deliverables, milestones, and professional fees will be outlined in a separate Statement of Work (SOW) or Consulting Agreement.

2. Consulting Services

  • EXSTA CONSULT LIMITED provides advisory services based on the data and information provided by the client. We do not guarantee specific financial outcomes, as business success depends on numerous market variables and the client's internal execution capabilities.
  • We act as independent contractors, not as employees, partners, or legal representatives of your organization.

3. Confidentiality and NDAs

We understand the highly sensitive nature of strategic business consulting. Both parties agree to maintain strict confidentiality regarding proprietary processes, financial data, and trade secrets shared during the course of our business relationship. A formal Non-Disclosure Agreement (NDA) will be executed prior to the commencement of any consulting project.

4. Intellectual Property

Upon full payment of all outstanding invoices, the intellectual property rights of any custom strategic plans, operational frameworks, or process documents developed specifically for the client will be transferred to the client. EXSTA CONSULT LIMITED retains the rights to any pre-existing consulting methodologies, templates, and frameworks utilized during the project.

5. Warranties & Liability

We warrant that our consulting services will be performed with professional care and diligence. However, in no event shall EXSTA CONSULT LIMITED be liable for indirect, consequential, or business-loss damages arising from the implementation of our strategic recommendations.

6. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our consulting services shall be subject to the exclusive jurisdiction of the courts of England.
